Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Crux platform operated by Arjun Khurana t/a Get Crux (ABN 91 332 307 539) (“Get Crux”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1.Definitions

“Service” means the Crux brief-generation platform, including all features, APIs, integrations, and related documentation made available at getcrux.com.au and any subdomains.

“User” means any individual who accesses or uses the Service, whether on behalf of themselves or an organisation.

“Account Holder” means the organisation or individual that registers for and maintains a Get Crux account.

“Content” means any data, files, transcripts, text, audio, or other material uploaded to or generated through the Service.

“Brief” means any output document generated by the Service from Content provided by a User.

2.Eligibility and Account Registration

You must be at least 18 years of age to use the Service. By registering, you represent that all information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Get Crux reserves the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unlawful purposes.

3.Acceptable Use

You agree not to use the Service to: (a) upload or transmit unlawful, defamatory, or infringing Content; (b) attempt to gain unauthorised access to any part of the Service or its infrastructure; (c) use the Service to generate content intended to deceive, defraud, or harm any person; (d) reverse-engineer, disassemble, or attempt to extract source code from the Service; (e) resell or sublicense access to the Service without our prior written consent.

4.Intellectual Property

You retain all intellectual property rights in Content you upload to the Service. By uploading Content, you grant Get Crux a limited, non-exclusive, royalty-free licence to process and store that Content solely for the purpose of providing the Service to you.

All Briefs generated by the Service are owned by you. Get Crux does not claim any ownership interest in your generated Briefs.

The Crux platform, including its software, design, trademarks, and documentation, is owned by Arjun Khurana t/a Get Crux and is protected by Australian and international intellectual property laws.

5.Subscription, Fees, and Payment

Get Crux offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually in advance. All prices are in Australian dollars (AUD) and are inclusive of GST where applicable.

You authorise Get Crux to charge your nominated payment method on a recurring basis for the period of your subscription. Failure to pay may result in suspension of your account.

Subscription fees are non-refundable except as required by applicable Australian consumer law, including the Australian Consumer Law (ACL) in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

6.Privacy and Data

Your use of the Service is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. By using the Service you consent to the collection and use of your data as described in those documents.

7.AI-Generated Output and Accuracy

Get Crux uses artificial intelligence to generate Briefs from Content you provide. AI-generated output may contain inaccuracies, omissions, or errors. You are solely responsible for reviewing, editing, and approving any Brief before relying on it or distributing it to third parties.

Get Crux does not warrant that Briefs will be accurate, complete, current, or suitable for any particular purpose. You should not rely on Briefs as legal, financial, or professional advice.

8.Limitation of Liability

To the maximum extent permitted by law, Get Crux's total liability to you for any claim arising out of or relating to the Service will not exceed the amounts you paid to Get Crux in the three months immediately preceding the event giving rise to the claim.

Get Crux is not liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of revenue, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits any rights you may have under the ACL that cannot be excluded by agreement.

9.Indemnification

You agree to indemnify and hold harmless Get Crux, its directors, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Content; or (c) your infringement of any third-party rights.

10.Third-Party Integrations

The Service may integrate with third-party platforms (including Notion, Confluence, Jira, GoHighLevel, Zoom, Google, and others). Your use of those integrations is subject to the applicable third-party terms and privacy policies. Get Crux is not responsible for the acts or omissions of third-party providers.

11.Service Availability and Modifications

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Get Crux may modify, suspend, or discontinue any part of the Service with reasonable notice. We will endeavour to provide at least 14 days' notice of material changes where practicable.

12.Termination

You may terminate your account at any time by contacting us at arjun@getcrux.com.au. Crux may terminate or suspend your account immediately for material breach of these Terms. Upon termination, your right to access the Service ceases, and we may delete your Content after a reasonable retention period.

13.Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. You and Get Crux agree to submit to the exclusive jurisdiction of the courts of Victoria. Before commencing formal proceedings, both parties agree to attempt to resolve any dispute in good faith within 30 days of written notice.

14.General

These Terms constitute the entire agreement between you and Get Crux with respect to the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right does not constitute a waiver. We may update these Terms from time to time; continued use after notice of an update constitutes acceptance.

The following non-exhaustive list illustrates uses that are permitted and not permitted under these Terms.

Permitted: uploading your own client meeting transcripts; generating marketing briefs for clients of your agency; integrating Get Crux with your project management tools; allowing team members within your organisation to access your Get Crux workspace.

Not permitted: uploading confidential third-party data you do not have rights to process; generating content designed to deceive consumers; selling access to Get Crux to third parties without a reseller agreement; using automated scripts to scrape or extract data from the Service.
